Frayter Media Terms of Service

These Terms of Service ("Terms") govern your use of the website at https://fraytermedia.com, related Frayter Media landing pages and funnels, forms, appointment booking pages, and communications programs operated by Gary Frayter LLC, doing business as Frayter Media ("Frayter Media," "we," "us," or "our").

1. Agreement to Terms

By accepting these Terms through a form, booking process, or other affirmative acceptance mechanism, you agree to these Terms. If you do not agree, do not accept these Terms or enroll in our communications programs. These Terms are made available for review before acceptance.

You must be at least 18 years old and able to enter into a binding agreement. If you act on behalf of a business, you represent that you have authority to bind that business.

Acceptance of these Terms does not constitute consent to receive SMS messages. SMS consent is a separate, optional choice as described in Section 6.

Paid agency services are governed by the applicable separately accepted service agreement, statement of work, or order. If that agreement conflicts with these Terms concerning paid services, that agreement controls. Nothing in that agreement permits us to disregard your communications preferences, applicable consent requirements, or privacy rights.

2. Description of Services

Frayter Media is a full-service content agency serving seven-figure entrepreneurs and businesses in the United States. Our services may include content strategy, content production and editing, social media management, and advertising management on Google and Meta. The specific scope, deliverables, timelines, and fees for a client engagement are established in a separate service agreement or statement of work.

Our website and funnels allow prospects to learn about Frayter Media, submit inquiries, and schedule consultations. Submitting an inquiry or booking a consultation does not guarantee that Frayter Media will accept an engagement or deliver a particular business outcome.

3. User Responsibilities

You agree to provide accurate and current information, including contact details, appointment information, and business information. You are responsible for updating us if your contact information changes.

You must provide only information and materials you are authorized to submit. If you provide a telephone number for SMS, you represent that you are the subscriber or authorized user of that number and are authorized to consent to messages at that number. Do not enroll another person without their authorization.

If you become a client, you are responsible for providing the materials, permissions, approvals, and access required under your service agreement. You remain responsible for the accuracy and lawfulness of claims, offers, and business information you supply for content or advertising.

Please notify Frayter Media promptly if you need to cancel or reschedule a consultation. Any cancellation fees for paid services apply only as set out in the applicable service agreement or otherwise agreed before purchase.

4. Acceptable Use

You may not use Frayter Media's websites, forms, booking tools, or communications systems to:

Violate applicable law or another person's rights.

Submit fraudulent, misleading, abusive, harassing, or unlawful information or content.

Impersonate another person or provide contact information without authorization.

Send spam, introduce malware, or interfere with the operation or security of our systems.

Attempt unauthorized access to accounts, customer information, or other restricted resources.

Collect personal information from our systems without authorization or circumvent access restrictions.

Frayter Media may restrict access reasonably necessary to address misuse, protect security, or comply with law.

5. Communications and GoHighLevel

Frayter Media uses GoHighLevel to manage customer relationships, funnels, forms, appointment scheduling, automation workflows, and communications. GoHighLevel processes customer information on Frayter Media's behalf as described in our Privacy Policy.

You may receive emails, telephone calls, and ordinary voicemail messages related to your inquiries, appointments, or services. These communications may be managed through GoHighLevel and its supporting providers. Automated or prerecorded calls, if offered, are subject to any separate consent required by applicable law. These Terms do not authorize unsolicited voicemail drops or prerecorded marketing calls.

SMS messages require your separate consent before sending. Email or telephone communications do not, by themselves, establish SMS consent. Frayter Media will honor applicable unsubscribe requests and communication preferences. You may unsubscribe from marketing emails using the link in the email and request that marketing calls stop by telling the caller or contacting us.

6. SMS Messaging Terms

Program Description

Gary Frayter LLC, DBA Frayter Media, operates an appointment and consultation text messaging program for prospects interested in our content agency services. Users who opt in may receive appointment confirmations, appointment reminders, rescheduling or cancellation notices, and follow-ups related to their requested consultation, to the extent covered by their consent.

Messages may be sent using automated technology. Frayter Media sends messages only for the purposes described in the consent you provide. Appointment-related SMS consent does not authorize promotional text messages. Promotional SMS requires separate, express consent covering those messages.

Consent and Enrollment

You enroll by voluntarily selecting the optional, unchecked SMS consent checkbox on Frayter Media's appointment booking form. The checkbox identifies Frayter Media and the message types covered by your consent. It is not selected by default.

Providing your number, submitting a form, booking a consultation, or agreeing to these Terms does not, by itself, enroll you in SMS. Consent is not a condition of purchase. You may submit the form, book a consultation, and purchase services without consenting to text messages.

Opt-Out Instructions

You can cancel the SMS service at any time. Just text STOP to +1 (203) 979-4240. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

You may also contact [email protected] or call +1 (203) 979-4240 to request removal from SMS communications. Opting out of SMS does not cancel an appointment or terminate a service agreement. Necessary communications may continue through other permitted channels, subject to your preferences and applicable law.

Carrier Liability

Carriers are not liable for delayed or undelivered messages.

Message and Data Rates

As always, message and data rates may apply for any messages sent to you from us and to us from you.

Message Frequency

You will receive appointment-based messages. Message frequency may vary based on your appointments and interactions with Frayter Media. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Number Changes and Availability

Notify Frayter Media if you change your telephone number or are no longer authorized to use the number you enrolled. SMS delivery depends on your carrier, device, coverage, and other technical conditions. Do not rely solely on a text reminder to attend an appointment.

SMS Privacy

No mobile information will be shared with third parties or affiliates for marketing/promotional purposes. Frayter Media never sells, rents, or shares customer opt-in data for marketing or promotional purposes. SMS consent is not shared with affiliates or third parties for their own use.

Text messaging originator opt-in data and consent will not be shared with any third parties, except for aggregators and providers of the Text Message services. This limited exception permits processing only to operate, deliver, and support Frayter Media's messaging service and does not permit independent marketing use.

7. Payments and Billing

Fees, payment schedules, advertising budgets, taxes, renewal terms, cancellation terms, and refund arrangements for paid services are set out in the applicable service agreement, statement of work, or accepted order. These Terms do not independently create a paid subscription or authorize recurring charges.

You agree to pay amounts you have agreed to under the applicable service agreement. Any recurring billing requires the applicable authorization and disclosures. Advertising spend and third-party expenses are charged only as agreed. No late fee, cancellation charge, or nonrefundable payment requirement is created solely by these Terms.

8. Intellectual Property

Frayter Media's website content, branding, logos, designs, and materials are owned by Frayter Media or its licensors and are protected by applicable intellectual property laws. You may view and use publicly available materials for your personal or internal business information. You may not reproduce, distribute, sell, or commercially exploit those materials without permission or another lawful basis.

You retain ownership of materials you provide. You grant Frayter Media the limited rights reasonably necessary to respond to your inquiry or perform services you request. Ownership and licensing of client deliverables, source files, templates, and other work product are governed by the applicable service agreement.

These Terms do not authorize Frayter Media to use a client's name, logo, testimonial, or confidential materials in advertising. Any such use requires the authorization provided in a separate agreement or other valid permission.

9. Disclaimers

To the fullest extent permitted by applicable law, our website, publicly available information, booking tools, and communications programs are provided on an "as is" and "as available" basis. Frayter Media does not warrant that these resources will be uninterrupted, error-free, or available at all times.

Frayter Media does not guarantee a particular number of views, followers, leads, conversions, sales, revenue, or advertising returns. Results depend on factors including your offer, audience, budget, execution, market conditions, and third-party platforms.

Any express commitments concerning paid services are governed by the applicable service agreement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Frayter Media is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of its website, booking tools, or communications programs, including lost profits or business opportunities.

For claims governed by these Terms rather than a separate service agreement, Frayter Media's aggregate liability will not exceed the greater of $100 or the fees you paid Frayter Media for the service giving rise to the claim during the 12 months preceding the event.

These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not permit us to limit. Liability relating to separately contracted agency services is governed by the applicable service agreement. Your nonwaivable statutory rights remain unaffected.

11. Indemnification

To the extent permitted by law, you agree to indemnify Frayter Media against third-party claims, reasonable costs, and damages arising from your unlawful use of our systems, your material breach of these Terms, or materials you submit that infringe another person's rights.

This obligation does not apply to the extent a claim arises from Frayter Media's own breach, negligence, or misconduct. Frayter Media will provide reasonably prompt notice of a claim and reasonable cooperation. No settlement may impose an admission or nonmonetary obligation on the other party without that party's consent.

12. Termination

You may stop using our website or communications programs at any time. To stop SMS, follow the opt-out instructions in Section 6.

Frayter Media may suspend or terminate access to its website, booking tools, or communications programs for a material violation of these Terms, security concerns, legal requirements, or discontinuation of a program. Where reasonably practicable, we will provide notice.

Termination of paid services and any outstanding obligations are governed by the applicable service agreement. Termination does not eliminate obligations that accrued before termination. Provisions concerning intellectual property, liability, indemnification, and dispute resolution survive to the extent necessary to give them effect. Personal information remains subject to our Privacy Policy and lawful retention obligations.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Applicable federal law and mandatory protections under the laws of your jurisdiction remain unaffected.

Unless a separate service agreement provides otherwise or applicable law requires a different forum, disputes arising under these Terms will be brought in the state courts located in Denton County, Texas, or the federal courts serving that county, and the parties consent to their jurisdiction.

14. Changes to Terms

Frayter Media may update these Terms to reflect changes in its services, practices, or legal requirements. Revised Terms will be posted with an updated Last Updated date. Material changes will be communicated, and renewed acceptance obtained, where required by applicable law.

Changes apply prospectively and do not change a separately signed service agreement unless the parties agree as required by that agreement. Updating these Terms does not expand your SMS consent or re-enroll you after an opt-out.

15. General Terms

If a provision is found unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision does not waive the right to enforce it later.

These Terms, together with any separately accepted service agreement and applicable program-specific terms, describe the agreement concerning their respective subject matter. Our Privacy Policy explains our personal information practices and does not substitute for separate SMS consent.
